Learning Outcomes

1. Develop a clear conceptual understanding of the structural framework of the Companies Act, 2013 and the LLP Act, 2008.
2. Explain the scope of delegated legislation and the rule-making powers exercised by the Central Government.
3. Describe the regulatory and administrative functions of the Ministry of Corporate Affairs (MCA).
4. Analyze the institutional hierarchy and roles of ROC, NCLT, and NCLAT within the corporate adjudicatory system.
5. Distinguish legally and structurally between Private Company, Public Company, OPC, Section 8 Company, and LLP.
6. Interpret statutory provisions governing holding, subsidiary, and associate company relationships.
7. Evaluate and recommend appropriate business vehicles based on risk allocation, governance, and compliance obligations.
8. Apply core corporate terminology accurately, including authorized capital, paid-up capital, and share capital structure.
9. Explain the statutory relevance and compliance function of DIN and DSC.
10. Analyze the constitutional and operational significance of the Memorandum and Articles of Association.
11. Assess the statutory duties, fiduciary responsibilities, and liabilities of Directors and Designated Partners.
12. Demonstrate basic operational familiarity with the MCA portal and company master data extraction.
13. Identify and structure statutory compliance timelines using a corporate compliance calendar.
14. Determine the jurisdictional competence of NCLT in company law matters.
15. Explain the appellate pathway from NCLT to NCLAT and ultimately to the Supreme Court in corporate litigation.
